THE CLUB AT PARADISE RANCH
We believe membership should mean something special. That’s why we’re offering only 350 exclusive memberships to the Club at Paradise Ranch. As a member, you’ll enjoy full access to our Jack Nicklaus/Jack Nicklaus II co-designed championship course; by limiting our membership, we can ensure available tee times, pristine conditions, and unlimited leisurely rounds of golf. After all, Paradise should never be crowded.
You’ll also receive preferred pricing on golf lessons and have the opportunity to participate in the Club’s golf tournaments. As a member, you’ll enjoy club storage, complimentary range balls and lockers. Your membership will include extended privileges for your immediate and extended family, as well as preferred rates for your guests. These generous benefits add to the already exceptional value of your membership.
In order to provide a general understanding of The Club at Paradise Ranch and the membership opportunities available, PRR Club, LLC, an Oregon limited liability company (the “Company”) presents the following questions and answers. Where these questions and answers refer to “the Club” taking action or having certain rights, the Company or its designees shall take such action and have such rights. These questions and answers are only summary in nature, and prospective members are encouraged to read all of the Membership Documents, including, but not limited to, the Membership Plan and Rules and Regulations, prior to purchasing a membership.

Q: What is the purpose of The Club at Paradise Ranch?
A: The Club at Paradise Ranch will be a place where you and your family can relax, play, and socialize with interesting and active people, while enjoying magnificent recreational facilities and participating in creative, entertaining and stimulating programs and activities. The goal of The Club at Paradise Ranch is to provide an exceptional resort club lifestyle.
Q: What is the membership opportunity at The Club at Paradise Ranch?
A: The Club at Paradise Ranch is offering two primary categories of membership: Charter Membership and Club Membership.
Q: Are the number of memberships in The Club at Paradise Ranch limited?
A: Yes. In order to assure a high standard of service and accessibility that our members expect, the Club plans on limiting the number of Charter Memberships and Club Memberships to a total of just 350.
Q: What recreational and social facilities will be available to members of The Club at Paradise Ranch?
A: The centerpiece of The Club at Paradise Ranch will be an 18-hole championship golf course co-designed by Jack Nicklaus and Jack Nicklaus II. The golf facilities will also contain an expansive driving range and a manicured practice putting green. A spectacular clubhouse, with a dining room and bar area, pro shop and men’s and women’s locker rooms, will be the focal point of The Club at Paradise Ranch’s social events and activities. In addition to multiple tennis courts and a swimming pool, a spa/wellness center, featuring treatment rooms, free weights room, yoga and floor exercise room, sauna, steam rooms and men’s and women’s locker rooms will also be available at The Club at Paradise Ranch.
Q: When will the Club’s facilities be completed?
A: The Club’s facilities will be completed in phases. It is anticipated that the golf course will be open for use in 2009. The practice facilities, the clubhouse and the remaining club facilities are to be completed shortly thereafter.
Q: Will the Club sponsor activities and events for members?
A: In keeping with The Club at Paradise Ranch’s purpose, the Club is committed to sponsoring activities and events which appeal to its members, their family members and guests. The Club intends to sponsor enrichment and educational programs and activities for all ages, such as health and wellness programs, children’s programs, member social events, golf traveling events, local history forums and cooking classes. The Club will keep its members informed of activities and events by a monthly newsletter and a periodic e-newsletter.
Q: What are the privileges of membership?
A: Charter Members will be entitled to use all of the golf, tennis, swimming, spa/wellness and social facilities of The Club at Paradise Ranch. Advance sign-up privileges for golf tee times will be determined by the Club from time to time. Charter Members will not be required to pay greens fees for use of the golf, but will be required to pay golf cart or trail fees. These members will not pay court fees for use of the tennis courts and have advance sign-up privileges for court times as determined by the Club from time to time.

Q: Describe some of the special features of Club membership?
A:
- The membership deposit paid for a membership is refundable as more particularly provided in the Membership Plan.
- Each membership is a family membership. The member, his or her spouse or significant other and their unmarried children under the age of 23 living at home, attending school on a full-time basis or in the military are entitled to enjoy membership privileges on the same basis as the member, subject to the provisions of the Membership Plan and Rules and Regulations.
- The married or adult children, parents, grandparents and grandchildren of the member and spouse or significant other and their respective spouses or significant others can use the facilities of the Club when accompanied by a member or an immediate family member and upon the payment of reduced fees.
- Members are encouraged to invite guests to share the Club experience.
- Memberships are transferable to the subsequent purchaser of the member’s home or homesite within Paradise Ranch Resort .
- Members are not subject to either operating or capital assessments.
- Upon the death of a member, the membership can be transferred to his or her spouse, or an adult child.
- A Member Services and Concierge Office will be available to provide various services to members.
Q: Who is eligible to acquire a membership in The Club at Paradise Ranch?
A: Memberships in The Club at Paradise Ranch will be offered to purchasers of property in Paradise Ranch Resort who are approved for membership in The Club at Paradise Ranch. The Club may also issue Club Memberships to persons who do not own property in Paradise Ranch Resort.
Q: Is membership in The Club at Paradise Ranch mandatory for property owners in Paradise Ranch Resort?
A: Membership in The Club at Paradise Ranch will be mandatory for all home and homesite owners within Paradise Ranch Resort. Each purchaser of such property in Paradise Ranch Resort must apply for a membership in The Club at Paradise Ranch and, if accepted for membership, must acquire a Charter Membership no later than the closing on the sale and purchase of his or her homesite and maintain such membership in The Club at Paradise Ranch for the period of property ownership.
Villa owners within Paradise Ranch Resort may, but are not obligated to, apply for membership in The Club at Paradise Ranch. In order to obtain a Charter Membership in The Club at Paradise Ranch each initial retail villa purchaser in Paradise Ranch Resort must, if approved for membership in The Club at Paradise Ranch, no later than the date of his or her closing on the villa, acquire a Charter Membership in The Club at Paradise Ranch. Membership is contingent upon approval by the Club. The number of Charter Memberships is limited.
The subsequent villa purchaser of an initial retail villa purchaser may, if approved for membership in The Club at Paradise Ranch, acquire a Charter Membership provided that the selling villa owner and each previous villa owner of the villa in question (if any) timely acquired and maintained a Charter Membership throughout the duration of their respective ownership of the villa in question.
In the event that the initial retail villa purchaser or any subsequent villa purchaser fails to timely acquire a Charter Membership or fails to maintain the Charter Membership throughout the duration of his or her ownership of the villa, a Charter Membership will no longer be available for that specific villa. In such event, the villa purchaser(s) is/are only eligible to apply for and, if approved for membership, acquire a Club Membership in The Club at Paradise Ranch.
Q: Can members be assessed to cover any operating deficits or capital improvements?
A: No. Members will not be subject to any assessments for operating deficits or capital improvements. The Company will be responsible for all deficits incurred in the operation of The Club at Paradise Ranch and its facilities and for the cost of all capital improvements.
Q: Who else can use the Club Facilities?
A: Resort Guests staying in Paradise Ranch Resort will be entitled to use the Club Facilities on such terms as the Club determines. The Club can sponsor prospective real estate purchasers and members and other individuals to use the Club Facilities as well.
Q: How do I become a member?
A: To become a member of The Club at Paradise Ranch, you must submit to the Club a fully completed Application for Membership. Once the Club receives the Application for Membership, the Club will review the same for approval purposes. If the Club approves the Application for Membership, you must return a fully completed and signed Membership Agreement, together with a check in the amount of the required membership deposit, if any. The Membership Agreement and the check should be submitted to the Membership Office.
